RESPONSIBLITIES

• Support all stages of transactions, including structuring, due diligence, negotiation, documentation, and closing
• Draft and negotiate investment, financing, joint venture, shareholder, royalty, and confidentiality agreements
• Manage external counsel and advise on transaction risk, regulatory matters, and deal structuring
• Support equity raises, debt and project financings, and strategic partnerships
• Support the legal and governance requirements of fund structures, management entities, and portfolio companies
• Advise on fund formation, LP documentation, side letters, and regulatory matters
• Advise on securities, mining, environmental, and other regulatory matters affecting investment activities
• Support compliance programs, policies, controls, and regulatory filings
