Job Description

: Serve as a corporate attorney and advise on legal aspects of mergers and acquisitions, investments, joint ventures, and related corporate matters. Draft, review, and negotiate transaction documents, including purchase agreements, joint venture agreements, shareholders’ agreements, and ancillary agreements. Conduct and oversee legal due diligence in connection with corporate transactions. Draft and review filings required by securities laws and stock exchange regulations in connection with the foregoing transactions. Provide ongoing advisory support to management and business teams on corporate governance and transactional compliance issues (telecommuting permitted one day per week).
